Terms of Service

1. Agreement to these Terms

These Terms of Service (the "Terms") are an agreement between Heysegment LLC, a Florida limited liability company ("Heysegment," "we," "us"), and the person or entity that creates an account or uses the service ("you" or"Customer"). By creating an account, clicking to accept, or using the service, you agree to these Terms. If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. Heysegment LLC has adopted and assumed all agreements entered into, and all use of the Service occurring, under the "Heysegment" name before the company's formation, and these Terms govern that use as well.

2. The Service

Heysegment is a reputation-management platform built for agencies. It collects, requests, monitors, and responds to customer reviews on behalf of the businesses you manage; sends review requests and related messages by SMS/MMS and email; routes and categorizes inbound replies; generates content such as reply drafts and personalized images; and provides reporting, white-label branding, and integrations with third-party services (together, the "Service"). We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes and on behalf of your client businesses, subject to these Terms.

3. Accounts and Eligibility

The Service is for business use only and is not directed to consumers or to anyone under 18. You are responsible for your account credentials, for the acts and omissions of everyone who accesses the Service under your account (including your staff and your client businesses), and for keeping your account information accurate.

4. HighLevel Integration and Automatic Account Provisioning

When you install, authorize, or access the Service through HighLevel (also known as GoHighLevel), you authorize us to receive and rely on the identity, company, location, role, and access information HighLevel provides. You also authorize us to use that information to create or associate Heysegment accounts, user profiles, and access memberships without requiring a separate Heysegment registration for each user.

You represent that you have authority to install or authorize the integration for the applicable agency, company, and Client Businesses, and you authorize us to treat access information received from HighLevel as your instruction to grant the corresponding Heysegment access. You are responsible for reviewing who has access, maintaining appropriate permissions in both systems, and promptly removing access when it is no longer authorized. Changing or removing a person's role in HighLevel, or uninstalling the integration, may not automatically delete that person's Heysegment profile or revoke access already provisioned in Heysegment; you must manage that access separately in Heysegment or contact us for assistance.

HighLevel is a third-party service governed by its own terms and privacy policy. The integration does not imply that Heysegment is owned, operated, endorsed, or sponsored by HighLevel.

5. Agencies and Client Businesses

The Service is designed for use by agencies acting on behalf of the businesses they manage ("Client Businesses"). You represent and warrant that, for every Client Business you onboard, you have the authority to act on its behalf — including connecting its Google Business Profile, sending messages in its name, responding to reviews for it, and processing the contact information of its customers. You are responsible to us for each Client Business's use of the Service as if it were your own, and you will ensure each Client Business complies with these Terms.

6. Messaging and Communications Compliance

The Service sends outbound messages — review requests, follow-ups, and replies — to real people on behalf of Client Businesses. This section allocates responsibility for that activity. Please read it carefully: it is the part of these Terms most likely to matter to you.

6.1 Heysegment is a software tool, not a sender of record

Heysegment provides software that composes, schedules, and dispatches messages at your direction through messaging infrastructure. We are not a telecommunications carrier, and we do not initiate messages on our own behalf. You (and each Client Business on whose behalf a message is sent) are the sender of every message dispatched through your account, and you control the audience, timing, cadence, and content of your campaigns through your configuration of the Service.

6.2 Your provider accounts (Twilio, SendGrid, Mailgun, and others)

The Service sends messages through third-party communications providers — such as Twilio for SMS/MMS and SendGrid or Mailgun for email, along with any other SMS, MMS, email, or similar communications provider the Service supports now or in the future (each, a "Provider") — using accounts, phone numbers, and sender identitiesthat you connect and own. Connecting a Provider account requires accepting the Provider Connection & Compliance Acknowledgment presented in the Service, which is part of these Terms. Our software merely uses those connections to manage sending on your behalf. You acknowledge and agree that:

6.3 Compliance with communications laws

You are solely responsible for ensuring that every message sent through your account complies with all laws, regulations, and industry rules that apply to it in every relevant jurisdiction, including without limitation:

6.4 Consent

You represent and warrant that, for every contact you (or a Client Business) upload, import, or sync into the Service, the contact has provided all consents legally required for the relevant Client Business to contact them by SMS/MMS and email for the purposes for which you use the Service, and that such consent has not been revoked. You are responsible for obtaining, documenting, and retaining proof of consent, and for honoring any revocation promptly.

6.5 Opt-outs and suppression

The Service includes features intended to help you manage compliance — such as automatic opt-out handling, do-not-contact flags, campaign stopping, sending windows, and reply categorization. You must not circumvent, disable, or override these features in a way that causes a message to be sent to someone who has opted out or may not lawfully be contacted. Opt-out requests received outside the Service (for example, directly by a Client Business) are your responsibility to record.

6.6 Message content and AI-generated content

You are responsible for the content of every message, image, and review reply sent through your account, including content generated or drafted by the Service's AI features and personalized images rendered with a contact's name or a business's likeness. AI-generated drafts are suggestions: you choose whether and how they are used, and you are responsible for reviewing automated behavior you enable.

6.7 Review-platform policies and review-integrity laws

Reviews are governed by the platforms that host them and by consumer-protection law. You are responsible for ensuring your use of the Service — including how review requests are framed and how feedback is routed — complies with the policies of Google, and of any other review platform you target, and with applicable review-integrity laws, including the FTC's Rule on the Use of Consumer Reviews and Testimonials, as they apply to you and your Client Businesses.

6.8 Compliance features are not legal advice

The Service's compliance-oriented features are tools, not legal advice, and using them does not guarantee compliance with any law. We make no representation that the Service, as you configure it, satisfies the legal requirements that apply to your business. You are responsible for obtaining your own legal advice about your messaging programs.

6.9 Suspension of sending

We may suspend or throttle sending from your account, or any part of it, if we reasonably believe it is being used in violation of this Section 6, a Provider's policies, or applicable law, or if a Provider or carrier requires it. Where practical we will notify you and work with you to resolve the issue.

7. Customer Content and Data

You retain all rights to the data you submit to the Service — contact lists, message content, branding, and Client Business information ("Customer Content"). You grant us the rights needed to host, process, transmit, and display Customer Content to operate and improve the Service. You are responsible for the accuracy and lawfulness of Customer Content. Our processing of personal information is described in our Privacy Policy.

The Service interoperates with third-party services you choose to connect — such as Google Business Profile, GoHighLevel, Twilio, SendGrid, Mailgun, and any other integration or Provider we support from time to time. Those services are governed by their own terms, and we are not responsible for them, for their availability, or for changes to their APIs or policies that affect the Service.

10. Fees and Payment

Paid plans are billed as described at purchase. Except as required by law, fees are non-refundable. Fees do not include Provider charges (for example, Twilio, SendGrid, Mailgun, or other Provider usage), carrier surcharges, or taxes, all of which are your responsibility. We may change pricing with notice, effective at your next renewal.

11. Intellectual Property

We own the Service, including its software, design, and documentation. Feedback you give us may be used without restriction or obligation. White-label features let you present the Service under your own brand; this does not transfer any ownership of the underlying Service to you, and you are responsible for the brand assets and domains you supply.

12. Confidentiality

Each party will protect the other's non-public information with reasonable care, use it only as needed to perform under these Terms, and not disclose it except to those who need it and are bound by similar obligations, or where disclosure is required by law.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT MESSAGES WILL BE DELIVERED, OR THAT USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR NUMBER, RATING, OR OUTCOME OF REVIEWS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO YOUR INDEMNIFICATION OBLIGATIONS OR YOUR BREACH OF SECTION 6.

15. Indemnification

You will defend and indemnify Heysegment against claims, damages, fines, penalties, and costs (including reasonable attorneys' fees) arising out of: (a) Customer Content; (b) your or a Client Business's breach of these Terms; and (c) messages sent through your account — including claims under the TCPA, CAN-SPAM, CASL, state telemarketing laws, or similar laws, claims arising from your Provider accounts or registrations, and claims arising from contacting any person without required consent.

16. Term, Suspension, and Termination

These Terms apply while you use the Service. You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate your access for material breach (including breach of Sections 6 or 8), for non-payment, or if required by law or a Provider. Upon termination we will make Customer Content available for export for 30 days, after which we may delete it. Sections that by their nature should survive (including 6.9, 7, and 11–17) survive termination.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute informally; unresolved disputes will be brought exclusively in the state courts located in Walton County, Florida, or the United States District Court for the Northern District of Florida, and each party consents to the jurisdiction and venue of those courts.

18. Changes

We may update the Service and these Terms. For material changes to the Terms we will give notice (for example, by email or in-product) before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.

19. General

These Terms are the entire agreement between us regarding the Service and supersede prior discussions. If a provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without consent, except to an affiliate or in connection with a merger or sale. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us must be sent to the address below; notices to you may be sent to your account email.
